INFORMATION FOR CLIENTS ON THE INADMISSIBILITY OF MAKING TRANSACTIONS BY PRIOR AGREEMENT

Dear customers,

We would like to draw your attention to the inadmissibility of making transactions in the anonymous mode of bidding by prior agreement and/ or leading to significant deviations in the parameters of bidding, as well as liability for violation of the rules of the Federal Law of 27.07.2010 224-FZ «On counteracting the improper use of insider information and manipulation of the market and on making changes to individual legislative acts of the Russian Federation».

The Code of Administrative Offences of the Russian Federation and the Criminal Code of the Russian Federation provide for liability for carrying out transactions by prior agreement under the anonymous trading regime. Persons who have violated the requirements of the Federal Law of 27.07.2010 224-FZ are temporarily limited in the right to carry out operations at organized auctions, as well as in the right to hold individual positions in financial organizations and their governing bodies.

For pre-arranged transactions with counterparties, bidding regimes should be used that involve only targeted bids by the parties.
We also remind you of the need to comply with the provisions «Notice on prohibition of manipulation of the market and improper use of insider information» (Annex 10 to the Regulation of brokerage services JSC IC «Vector Capital»).
